Our commitment to the community
Regular karate and fitness classes at Delta Kai are free. Donations, Supporting Memberships, and volunteer time help make that possible. Financial support does not buy rank, a say in karate curriculum, or priority access to training.

How Delta Kai is Led
We are reviewing an update to our bylaws, the rules that govern Delta Kai. The proposal below is not yet in effect. You can read our current rules and proposed changes separately.
Board oversight: The proposal calls for five to nine Board members. Eligible members elect the Vice President, Secretary, Treasurer, and general Board members. Each eligible voter has one vote and must cast it personally.
Day-to-day leadership: The President and Vice President lead operations. The Board appoints department directors for Operations, Volunteering, Fundraising and Events, Community Engagement, and Programming. Department directors cannot also serve on the Board.
Founder authority: The proposal preserves the Founder-President’s permanent voting Board seat during the service period defined in the bylaws. The Founder can block changes to specified core mission matters. Other formal decisions have a separate Founder review and conditional-veto process.
Martial Arts Instruction: The Founder-Chief Instructor and Black Belt Council oversee curriculum. The Programming department coordinates classes, outreach, and youth leadership without deciding what curriculum is taught.

Accountability and conflicts of interest
Our proposed bylaws include safeguards for decisions that could benefit a leader personally. These provisions are part of the update under review:
Leaders must disclose personal interests that could affect a decision. Decisions involving those interests go to Board members who do not have a stake in the outcome.
The Founder must step out of discussion and voting on decisions involving the Founder’s personal interests. Founder powers cannot be used to control those decisions.
Separate approval, payment, and recordkeeping controls help protect charitable funds. The Secretary and Treasurer can raise concerns directly with the Board.
People who report concerns in good faith are protected from retaliation under the proposed rules.

Tax deductibility
The treatment of goods and services follows IRS guidance. I left the placeholder because the reviewed documents did not include Delta Kai’s IRS determination letter. Confirm the status and have qualified Minnesota nonprofit counsel review the wording before publication.
